1. Acceptance of Terms

By accessing or using the Think Tutor platform, website, mobile applications, or any other services provided by AI-IT Inc. (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and promising that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not use the Service. If you are under the age of 18, you represent that you have your parent or guardian's permission to use the Service and that they have read and agreed to these Terms.

2. Description of Service

Think Tutor is an educational platform designed to provide personalized learning experiences for children with ADHD and other learning differences. The Service includes interactive educational content, AI-powered tutoring, progress tracking, and related features.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

3.3 Parental Accounts

If you create an account as a parent or guardian for a child under 13, you are responsible for managing that account and ensuring compliance with these Terms. You represent that you are the legal guardian of any child for whom you create an account and that you have the right to consent to the collection and processing of their personal information as described in our Privacy Policy.

4. Subscription and Payment Terms

4.1 Subscription Options

Think Tutor offers various subscription plans, including free and paid options. The features available to you will depend on the type of subscription you select.

4.2 Payment

If you choose a paid subscription, you agree to pay all fees associated with your selected plan. All payments are processed through our third-party payment processors. By providing payment information, you represent that you are authorized to use the payment method and agree to allow us to charge your selected payment method for the subscription you have selected.

4.3 Automatic Renewal

Paid subscriptions automatically renew at the end of each billing period unless canceled before the renewal date. You can cancel your subscription at any time through your account settings or by contacting our support team.

4.4 Refunds

Refunds are provided in accordance with our Refund Policy, which is incorporated by reference into these Terms. Generally, we offer a 14-day money-back guarantee for new subscriptions. After this period, refunds may be issued on a case-by-case basis at our discretion.

5. User Conduct

You agree not to use the Service to:

  • Violate any applicable law, regulation, or these Terms
  • Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service or any other accounts, computer systems, or networks connected to the Service
  • Use the Service for any commercial purpose without our express written consent
  • Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Upload, post, or transmit any material that contains viruses, trojan horses, worms, or any other harmful or destructive code

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service and its original content, features, and functionality are owned by AI-IT Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not copy, modify, create derivative works of, publicly display, publicly perform, republish, or transmit any of the material on our Service without our prior written consent.

6.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for personal, non-commercial educational purposes.

6.3 User Content

You retain all rights to any content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such content in connection with providing and promoting the Service.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

THINK TUTOR IS AN EDUCATIONAL TOOL AND IS NOT INTENDED TO DIAGNOSE, TREAT, CURE, OR PREVENT ANY MEDICAL CONDITION, INCLUDING ADHD. WE MAKE NO WARRANTIES REGARDING THE EDUCATIONAL OUTCOMES OR EFFECTIVENESS OF THE SERVICE FOR ANY PARTICULAR USER.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AI-IT INC., ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO US FOR THE SERVICE DURING THE TWELVE (12) MONTH PERIOD PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, WHICH MEANS THAT SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN THESE JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

9. Indemnification

You agree to defend, indemnify, and hold harmless AI-IT Inc., its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms or the Service shall be exclusively brought in the federal or state courts located in Polk County, Florida, and you consent to the personal jurisdiction of such courts.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our website and, where appropriate, notifying you by email or through the Service. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

14. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, shall constitute the entire agreement between you and AI-IT Inc. concerning the Service.
